Terms of Service

These Terms of Service ("Terms") govern your use of the SIOP360 platform and services provided by SIOP360, LLC ("SIOP360," "we," "us," or "our"). By using our services, you agree to these Terms.

1. Services

SIOP360 provides a cloud-based supply chain intelligence platform that connects to your ERP and business systems to deliver analytics, reporting, and AI-powered insights. Our services are designed for business use by manufacturers and supply chain organizations.

2. Account Registration

To use SIOP360, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3. Your Data

You retain all ownership rights to the data you provide to SIOP360. By using our services, you grant us a limited license to access, process, and display your data solely for the purpose of providing the services to you.

• Read-Only Access: SIOP360 connects to your systems with read-only access. We do not modify your source data.
• Data Ownership: Your data remains yours. We do not claim any ownership rights to your business data.
• Data Use: We will not use your data for any purpose other than providing services to you, unless required by law.

4. Acceptable Use

You agree not to:

• Use the services for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' data
• Interfere with or disrupt the services
• Reverse engineer, decompile, or disassemble the platform
• Share account credentials with unauthorized users
• Use the services to compete directly with SIOP360

5. Fees and Payment

Fees for SIOP360 services are set forth in your service agreement or order form. Unless otherwise specified:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change fees with 30 days' notice

6. Intellectual Property

SIOP360 and its licensors retain all rights to the platform, including all software, designs, trademarks, and documentation. These Terms do not grant you any rights to our intellectual property except the limited right to use the services as permitted.

7. Confidentiality

We will treat your business data as confidential and will not disclose it to third parties except:

• To service providers who assist in delivering our services (under confidentiality obligations)
• As required by law or legal process
• With your express consent

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for service interruptions beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law:

• SIOP360 is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the fees you paid in the 12 months preceding the claim

10. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination:

• Your right to use the services ends immediately
• You may request export of your data within 30 days
• We will delete your data within 90 days unless legally required to retain it

11. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Continued use of the services after changes take effect constitutes acceptance of the new Terms.
